                                                                                                         The Board instructed the Chief Executive Officer to offer and negotiate

a salary and relocation expenses with Dr. Mitch Katz, and return to the     Board for final approval. The vote of the Board was unanimous with      Supervisor Ridley-Thomas being absent.
